Outcomes vary based on clients' participation, operational execution, implementation factors, market conditions, and third-party systems; clients can rely on AI Dominion Consultant's expertise, strategic guidance, and dedicated support throughout the engagement. Specific financial, operational, marketing, or revenue outcomes cannot be guaranteed.

AI Dominion Consultant provides professional AI consulting, advisory, automation, and digital business solutions designed to support operational efficiency, workflow optimization, customer engagement, business modernization, and scalable technology implementation.

Services may include, but are not limited to:

AI Dominion Consultant reserves the right to modify, enhance, suspend, or discontinue any portion of its Services, systems, technologies, software integrations, or service offerings at any time, with or without notice, where permitted by applicable law.

All content, materials, systems, software, workflows, AI automations, branding, text, graphics, photography, videos, designs, documents, logos, dashboards, scripts, prompts, proprietary processes, and related intellectual property displayed on this website or developed in connection with the Services are owned by or licensed to AI Dominion Consultant and/or J. Johnson & Associates, LLC and are protected under applicable intellectual property, trademark, copyright, and proprietary rights laws.

No content, materials, systems, or proprietary assets may be copied, reproduced, modified, distributed, republished, sold, sublicensed, reverse engineered, or used without the prior written consent of AI Dominion Consultant or the applicable rights holder.

Clients of AI Dominion Consultant agree to cooperate in good faith and fulfill all responsibilities necessary for the successful delivery, implementation, operation, and support of the Services.

Clients agree to:

• Provide accurate, complete, current, and truthful information necessary for service delivery, implementation, system configuration, and ongoing support.
• Maintain lawful, ethical, and authorized use of all Services, systems, automations, software, platforms, and technologies provided by AI Dominion Consultant.
• Maintain the confidentiality and security of account credentials, login information, access permissions, authentication methods, and associated systems.
• Promptly notify AI Dominion Consultant of any unauthorized access, suspected security breach, misuse, or compromise involving Client accounts or systems.
• Cooperate in a timely and professional manner during onboarding, implementation, testing, deployment, troubleshooting, training, and ongoing project activities.
• Provide required approvals, access permissions, technical information, integrations, content, and operational resources necessary for service completion.
• Ensure that all Client-provided materials, data, content, communications, and system usage comply with applicable laws, regulations, intellectual property rights, and third-party platform requirements.
• Maintain appropriate backups of Client data and business records unless otherwise expressly agreed in writing.
• Refrain from interfering with, disrupting, reverse engineering, copying, exploiting, or misusing any proprietary systems, automations, workflows, software, or technologies provided by AI Dominion Consultant.

Clients acknowledge that delays in communication, approvals, access, information, or cooperation may impact implementation timelines, deliverables, project performance, system functionality, or overall service delivery.

AI Dominion Consultant shall not be responsible for delays, interruptions, errors, security incidents, or operational issues caused by inaccurate information, third-party systems, Client misuse, lack of cooperation, unauthorized modifications, or failure to fulfill Client responsibilities outlined in these Terms & Conditions.

All content on this website, including but not limited to text, trademarks, logos, branding, software, graphics, photography, videos, designs, documents, AI systems, workflows, and proprietary materials provided by AI Dominion Consultant or its licensors is protected under applicable intellectual property, trademark, copyright, and proprietary laws.

No content, materials, systems, or proprietary assets may be copied, reproduced, distributed, modified, republished, sold, licensed, or used without the prior written consent of AI Dominion Consultant, J. Johnson & Associates, LLC, or the applicable rights holder.

All systems, workflows, AI automations, prompts, templates, strategies, branding, funnels, CRM structures, software configurations, dashboards, scripts, integrations, operational frameworks, and proprietary materials created or developed by AI Dominion Consultant on behalf of any client remain the sole intellectual property of AI Dominion Consultant and/or J. Johnson & Associates, LLC unless otherwise expressly stated in a separate written agreement.

Clients are granted a limited, non-exclusive, non-transferable license to use approved deliverables solely for their internal business operations in accordance with the applicable service agreement.

Client data, sensitive information, and confidential business materials remain protected under applicable confidentiality, privacy, and non-disclosure obligations.

AI Dominion Consultant reserves the right to suspend, restrict, or terminate access to any services, systems, software, subscriptions, automations, websites, hosted environments, CRM platforms, or related business solutions for violations of these Terms, nonpayment, suspected misuse, unlawful activity, security concerns, unauthorized access attempts, or any other legitimate business reason permitted under applicable law.

Where required by law, reasonable notice shall be provided prior to termination.

Termination of services shall not relieve the Client of any outstanding balances, accrued fees, payment obligations, or contractual responsibilities incurred prior to termination.

Upon termination, AI Dominion Consultant may disable or revoke access to systems, dashboards, automations, hosted assets, software environments, and related services associated with the Client account.

AI Dominion Consultant shall not be held liable for any delay, interruption, failure in performance, or inability to provide services resulting from causes beyond its reasonable control, including but not limited to:

• natural disasters
• acts of God
• cyberattacks
• internet or telecommunications failures
• utility outages
• labor disputes
• governmental actions
• pandemics
• war
• civil unrest
• third-party platform failures
• Cloud service interruptions
• AI provider outages
• hosting disruptions
• software vendor interruptions

During any Force Majeure event, obligations affected by the event shall be suspended for the duration of the disruption.

Certain services provided by AI Dominion Consultant may be offered on a recurring subscription basis, including AI automation services, CRM platforms, hosting, maintenance, support, and managed systems.

Recurring subscription services shall continue and automatically renew in accordance with the applicable invoice, proposal, Statement of Work ("SOW"), subscription plan, or service agreement unless canceled pursuant to the applicable cancellation terms.

Subscription fees are billed in advance and are non-refundable once charged unless otherwise stated in writing. Failure to maintain timely payment may result in suspension, restriction, or termination of services and access to associated systems or platforms.

AI Dominion Consultant reserves the right to modify subscription pricing, features, or service offerings upon reasonable notice.

By accessing this website, checking any acceptance box, submitting forms, purchasing services, signing electronically, or otherwise using the Services provided by AI Dominion Consultant, you acknowledge and agree that your electronic actions constitute a legally binding electronic signature and acceptance of these Terms & Conditions, Privacy Policy, and related agreements.

You further agree that electronic communications, records, approvals, signatures, and agreements satisfy any applicable legal requirements requiring written documentation.

To the fullest extent permitted under applicable law, AI Dominion Consultant, J. Johnson & Associates, LLC, its affiliates, officers, directors, employees, contractors, licensors, agents, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from or related to:

• use of the Services
• AI systems
• automations
• software
• websites
• workflows
• third-party integrations
• platform outages
• data interruptions
• business interruptions
• loss of revenue
• loss of profits
• loss of business opportunities
• unauthorized access
• cybersecurity incidents

This limitation applies regardless of the legal theory asserted, including contract, negligence, tort, strict liability, or otherwise.

In no event shall the total aggregate liability of AI Dominion Consultant exceed the total amount actually paid by the Client to AI Dominion Consultant for the specific services giving rise to the claim during the six (6) months preceding the event giving rise to liability.

AI Dominion Consultant will use efforts according to applicable law to maintain the confidentiality and security of client information, business records, operational data, proprietary materials, and sensitive communications disclosed while providing Services.

Confidential information may include, but is not limited to:

• business strategies
• operational processes
• client records
• workflows
• AI systems
• CRM data
• financial information
• login credentials
• marketing strategies
• proprietary documents
• automation structures
• trade secrets

AI Dominion Consultant shall not disclose confidential information to unauthorized third parties except as necessary to provide Services, comply with applicable law, protect legal rights, enforce agreements, or as otherwise authorized by the Client.

Clients acknowledge that certain Services may involve the use of third-party software providers, cloud platforms, AI technologies, hosting providers, communication systems, payment processors, and integrated business tools necessary for service delivery.

Users of the Services provided by AI Dominion Consultant agree to the following.

• Use the Services for any unlawful, fraudulent, harmful, abusive, or unauthorized purpose.
• Attempt unauthorized access to systems, servers, software, accounts, APIs, databases, automations, or networks.
• Interfere with the security, functionality, or operation of the Services.
• Misuse, exploit, manipulate, reverse engineer, duplicate, copy, or abuse AI systems, workflows, automations, prompts, or proprietary technologies.
• Distribute malware, viruses, malicious code, spam, or harmful content.
• Violate intellectual property rights or confidentiality obligations.
• Resell, sublicense, transfer, lease, distribute, or commercially exploit proprietary systems or deliverables without prior written authorization.
• Use the Services in violation of applicable local, state, federal, or international laws or regulations.
• Use AI systems or automations in a manner that may cause harm, discrimination, unlawful surveillance, harassment, or deceptive practices.

AI Dominion Consultant reserves the right to suspend, restrict, investigate, or terminate access to the Services for any prohibited activity, suspected misuse, security concern, violation of these Terms & Conditions, or unlawful conduct.

AI Dominion Consultant reserves the right to modify, revise, or update these Terms & Conditions at any time in its sole discretion.

Updated Terms shall become effective immediately upon posting to the website unless otherwise stated. Continued use of the Services following any updates constitutes acceptance of the revised Terms.

You agree to defend, indemnify, and hold harmless AI Dominion Consultant, J. Johnson & Associates, LLC, its affiliates, officers, directors, employees, contractors, licensors, agents, representatives, and partners from and against any and all claims, demands, liabilities, damages, losses, judgments, settlements, penalties, costs, and expenses, including reasonable attorney's fees and legal expenses, arising out of or related to any listed below.

• Misuse of AI systems or automations
• Violation of these Terms
• Violation of applicable laws or regulations
• Infringement of third-party rights
• Unauthorized system access
• Data submitted by you
• Content provided by you
• Negligent or unlawful conduct associated with your use of the Services.

These Terms & Conditions and any disputes arising out of or relating to the Services provided by AI Dominion Consultant shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the appropriate state or federal courts located within the State of Texas.
